Cadeler: New Board and Intentions to Float

Cadeler A/S (“Cadeler” or the “Company”) today announces its intention to apply for a listing on the Oslo Stock Exchange (the “IPO”).

Cadeler, until recently known as Swire Blue Ocean, is an offshore wind farm installation vessel contractor headquartered in Copenhagen, Denmark.

The Company owns and operates two offshore jack-up wind farm installation vessels, Pacific Orca and Pacific Osprey, two of the most capable jack-up wind farm installation vessels in the industry. In addition to installation of wind turbine generators (“WTGs”), these vessels can install foundations and perform operations and maintenance work and other tasks.

Cadeler’s new board of directors is of the opinion that the IPO represents an important step in the development of the Company as it will (i) enable Cadeler to strengthen its capital base to pursue attractive investment opportunities currently under review by the Company, (ii) further solidify  overall market awareness of the Company for both end-clients and industry partners, (iii) further improve the Company’s ability to attract, retain and motivate talented and skilled management and personnel, and (iv) allow for a liquid market for the Company’s shares.

Board of Directors

Following the recent announcement of Swire Blue Ocean’s rebranding as Cadeler A/S and the company’s upcoming listing on the Oslo Stock Exchange, Cadeler is pleased to publish information on the new Board of Directors.

Richard Sell, Chairman of the Board – Richard is the Commercial Director for Swire Pacific Offshore, overseeing Swire Pacific Offshore’s OSV and non-OSV businesses. Since 1999, he has held various leadership roles in the Swire group across several countries and divisions, including 10 years with Cathay Pacific Airways.

Roy Shearer, Director – Roy has acted as Swire Pacific Offshore’s Finance Director since 2018. Having previously worked as CFO in Swire Oilfield Services, he has over 20 years of experience mainly in the Oil & Gas industry. He is a member of the Institute of Chartered Accountants of Scotland.

Connie Hedegaard, Director, Chair of Nomination Committee – Connie has an extensive track record in positions related to sustainability and the environment. She has previously served as the EU Commissioner for Climate Action and has served as the Danish Minister for three separate posts: Climate and Energy, Nordic Cooperation, and the Environment. Connie currently chairs a number of foundations and executive boards, including OECD’s Round Table for Sustainability and Aarhus University.     

Jesper Lok, Director, Chair of Remuneration Committee – Jesper has held leadership positions in various multinational corporations within the transport & logistics, energy and infrastructure sectors. He worked for 25 years with A.P. Møller-Maersk, served as CEO of SVITZER, Danish Railroads, and Falck Emergency. Jesper currently serves as the chair for multiple corporate boards.

Ditlev Wedell-Wedellsborg, Director, Chair of Audit Committee – Ditlev has extensive experience in the shipping industry and is currently the owner and chairman of Weco Invest A/S. He has acted as the board director for Höegh LNG and Höegh Autoliners since 2006. Currently, he serves as director and advisor for more than 10 companies and has a professional background in management consultancy.

Andreas Beroutsos, Director – BW Group’s senior investment executive, responsible for Strategic Investments / New Businesses. He is a member of the Group Executive Committee and the Chairman’s Office. As an investor, he has held the positions of EVP & Senior Portfolio Manager for Private Equity & Infrastructure at Caisse de Dépôt et Placement du Québec (CDPQ); Partner at HRS Management; and Partner/Senior MD leading Private Investments at Eton Park Capital Management. Prior to his investing career, he was a Senior Partner at McKinsey & Company. He has extensive experience with private and public company Boards, across major geographies.
